1. Introduction
These Terms of Service (these “Terms”) constitute a legal agreement between you and Odinex, Inc. (“Kintsu,” “we,” or “us”). Your access to and use of kintsu.ai (the “Site”) and the services made available through the Site, our WordPress plugin, APIs, integrations, and related tools (the “Services”) are subject to these Terms.
By using the Site or any Services, you:
acknowledge that you have read and understood these Terms;
agree to be bound by these Terms;
agree to our Privacy Policy; and
commit to comply with all applicable laws and regulations.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
We may revise these Terms at any time by posting updated Terms on the Site or providing notice. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
2. Definitions
When we use the following terms in these Terms, here’s what we mean:
“AI Provider(s)” means third-party providers of artificial intelligence models or related services that Kintsu may call or route requests to in order to generate outputs or instructions, including OpenAI, Anthropic, and Google (and any successors or alternatives).
“AI Output” means code, content, diffs, instructions, patches, configuration changes, or other outputs generated by the Services using AI models.
“Authorized User(s)” means your employees, contractors, or other persons you authorize to access your account or use the Services on your behalf, if applicable.
“Customer Data” means any content, code, text, images, files, credentials, configuration, database records, prompts, instructions, website assets, or other data that you input, upload, submit, connect, transmit, host, or generate through the Services, including data from a connected WordPress environment. Customer Data does not include Usage Data or Kintsu Materials.
“Credentials” means authentication secrets, tokens, passwords, API keys, or other access mechanisms used to connect Kintsu to your WordPress environment or other third-party services.
“Credits” means prepaid, non-refundable, non-redeemable units (if offered) that you purchase or receive to use some or all usage-based features of the Services.
“Free Credits” means promotional or trial credits we may grant at our discretion.
“Infrastructure Provider(s)” means third-party providers of hosting, networking, logging, analytics, and related infrastructure services we use to provide the Services, including Vercel (and any successors or alternatives).
“Kintsu Materials” means the Site, Services, plugin, software, technology, documentation, tools, templates, algorithms, models, interfaces, content, and other materials that we develop, provide, or make available, together with all improvements, modifications, and derivative works. Kintsu Materials do not include your Customer Data.
“PII” means personally identifiable information or “personal information” as defined under applicable privacy laws, to the extent applicable.
“Plugin” means any WordPress plugin, connector, agent, MCP server component, or similar software component provided by Kintsu that you install or deploy to enable the Services to interact with your WordPress environment.
“Services” means the Site and all related features, tools, modules, integrations, APIs, plugin functionality, and support services we make available to you under these Terms.
“Site” means kintsu.ai and any associated domains or subdomains we control.
“Usage Data” means telemetry, logs, performance data, diagnostics, usage metrics, security signals, and other technical data generated by or in connection with your use of the Services. Usage Data does not include Customer Data or PII; however, Usage Data may include non-PII technical identifiers (e.g., event IDs), and may include PII only to the extent unavoidable for security and account operation (e.g., IP address).
3. License to Use Our Services
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, as permitted by your subscription plan (if any).
This license does not give you any ownership interest in the Services or Kintsu Materials, and all rights not expressly granted are reserved by us. This license terminates immediately if you violate these Terms or your account is terminated for any reason.
4. License Restrictions
You agree not to, and not to allow others to:
copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or Kintsu Materials except as expressly permitted in these Terms;
resell, provide, or make the Services available to any third party on a service bureau, managed service, or time-sharing basis unless we expressly permit it in writing;
share your account credentials or allow unauthorized access to your account;
reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, models, or algorithms underlying the Services (except to the limited extent prohibited by law);
bypass or disable any security, usage, or access controls;
use automated tools (bots, scrapers, crawlers) to access or interact with the Services without our written permission;
upload, transmit, or distribute malicious code, viruses, or harmful content;
overload, disrupt, or interfere with the normal operation of the Services or third-party systems;
use the Services to harass, defame, impersonate, or otherwise harm others;
use the Services in violation of applicable laws, regulations, export controls, or sanctions;
use the Services to generate or disseminate harmful, misleading, unlawful, or infringing content;
misrepresent AI Output as human-generated in contexts where it could cause harm or deception;
use AI Output without appropriate review in high-risk contexts (including medical, legal, financial, or safety-critical uses);
extract, reconstruct, or attempt to determine model weights, training data, or system logic;
use the Services, AI Output, or prompts to train, develop, or improve competing AI models or services;
attempt to gain unauthorized access to any WordPress site, server, database, or other system.
5. WordPress Plugin, Agent Execution, and Site Modification
Kintsu is designed to operate as an AI agent (including MCP server components) that, based on your conversational instructions, may directly modify your WordPress environment, including:
WordPress files (themes, plugins, configuration, custom code)
WordPress database content and settings
Site content (posts, pages, HTML, CSS, assets)
Operational configurations, caching, and other runtime behaviors (depending on your site)
5.1 You Authorize Changes
By installing the Plugin or connecting your WordPress site, you authorize Kintsu to perform actions you request, including writing changes to your files and database.
5.2 You Are Responsible for Backups and Recovery
You are solely responsible for maintaining complete and recent backups of your website, database, and file system, and for ensuring you can restore your site if changes cause errors, downtime, or data loss.
5.3 No Guarantee of Reversibility
Changes made by Kintsu may not be easily reversible. You acknowledge that AI-driven edits can introduce incompatibilities with themes, plugins, hosting environments, or custom code.
5.4 Access and Least Privilege
You agree to provision Credentials with least privilege necessary. If you provide broad admin access, you accept the risk of broader changes.
5.5 Staging Environment Creation and Resource Usage
To enable safer review, testing, or validation of changes prior to publishing to a live environment, Kintsu may create a staging, preview, or duplicate environment of your WordPress site (a “Staging Environment”).
By using the Services, you acknowledge and agree that:
Site Duplication on Your Infrastructure.
The Staging Environment is created by duplicating all or part of your existing WordPress site (including files, database content, and configuration) within your own hosting infrastructure or server environment, not on Kintsu-controlled servers, unless explicitly stated otherwise.Resource Consumption.
Creating and operating a Staging Environment necessarily consumes server resources, including CPU, memory (RAM), disk space, database capacity, and I/O. While Kintsu makes reasonable efforts to minimize resource usage and operational impact, we do not guarantee zero impact, and resource consumption may vary depending on your site size, hosting configuration, and traffic.Hosting Limits and Performance Risk.
You are solely responsible for ensuring that your hosting plan, server configuration, and environment can support the creation and operation of a Staging Environment. This includes compliance with storage limits, inode limits, CPU throttling, memory caps, and hosting provider policies. Kintsu is not responsible for hosting suspensions, throttling, overages, degraded performance, or downtime caused by insufficient resources.No Guarantee of Isolation or Stability.
A Staging Environment may share infrastructure, resources, or configuration with your production site. As a result, changes, background processes, or errors in the Staging Environment may indirectly affect the live site, depending on your hosting setup.Backup and Recovery Responsibility.
You remain solely responsible for maintaining current and restorable backups of your production and staging environments before any duplication, testing, or publishing actions. Kintsu does not provide backup, rollback, or disaster recovery guarantees.User Authorization and Assumption of Risk.
By instructing Kintsu to create, use, or publish from a Staging Environment, you expressly authorize these actions and assume all associated risks, including data inconsistency, performance degradation, hosting issues, or unintended side effects.
6. Suspension and Termination for Breach
We may suspend or terminate your account, access to the Services, or any portion of them immediately if we reasonably believe you have violated these Terms (including the License Restrictions) or engaged in fraudulent, abusive, or unlawful activity.
Suspension or termination does not limit any other remedies available to us. You remain responsible for all fees and charges incurred up to the date of suspension or termination.
7. Billing & Payments
7.1 Subscriptions
You may use the Services under a free or paid plan, as described on the Site. Paid plans are billed in advance on a monthly or annual basis and renew automatically unless you cancel before the renewal date in your account settings.
Plan limits (seats, features, usage thresholds) are described on the Site and may change over time. Except where required by law, subscription fees are non-refundable.
7.2 Credits and Usage-Based Charges (If Offered)
Some features may be metered and require Credits or usage-based fees. If Credits are offered:
Credits are prepaid and non-refundable.
Credits are not redeemable for cash and have no stored-value equivalent.
Credits represent a limited license to access usage-based Services.
If you enable auto-reload, your account may be charged automatically when your balance falls below a threshold you select.
7.3 Payment Processor; Records
Payments are processed by Stripe (or another payment processor we designate). We rely on the records of the payment processor regarding payments, invoicing, and balances, and you agree those records are final absent manifest error.
7.4 Taxes
Fees are exclusive of taxes. You are responsible for applicable taxes, duties, or government charges, other than taxes based on our income.
8. Service Dependencies and Availability
We provide the Services using our own technology and third-party providers, including:
Infrastructure Providers (e.g., Vercel)
AI Providers (e.g., OpenAI, Anthropic, Google)
Analytics services (e.g., Google Analytics 4)
Payments (e.g., Stripe)
Because we do not fully control these providers, we cannot guarantee uninterrupted availability, performance, or security. Interruptions, delays, errors, and third-party outages may occur. We are not responsible for issues caused by third-party providers or events beyond our reasonable control (including force majeure).
9. AI Use Disclaimer
The Services may generate AI Output, including code and operational changes. AI Output may contain errors, security flaws, licensing issues, inaccuracies, or other defects.
You are solely responsible for reviewing, testing, validating, and deploying any AI Output, whether generated through:
Kintsu’s agent and plugin workflow; or
AI Providers; or
any model or API you connect.
You agree not to rely on AI Output for high-risk functions (medical, legal, financial, safety-related, or mission-critical production changes) without appropriate safeguards, staging environments, code review, and testing.
AI Output may be similar or identical to outputs generated for other users with similar prompts. We do not guarantee uniqueness, accuracy, non-infringement, or suitability for any purpose.
10. Customer Data and Privacy
10.1 No Compliance Representations
We do not represent that the Services comply with any particular regulatory framework for your use case. You are responsible for determining whether the Services are appropriate for your legal and compliance obligations.
10.2 Sensitive Data
Unlike some platforms, Kintsu does not prohibit uploads of sensitive data. However, the Services are not designed for regulated data types (e.g., HIPAA-protected health information, biometric identifiers, financial account credentials beyond what is necessary to authenticate, or government IDs). If you choose to submit such data, you do so at your own risk and remain responsible for compliance.
10.3 Transfers to AI Providers and Infrastructure Providers
By using the Services, you consent to the transfer, processing, and storage of Customer Data (including prompts and related context) as necessary to provide the Services, including transmission to AI Providers for generation of AI Output.
10.4 Rights in Customer Data
As between you and Kintsu, you own your Customer Data.
Except for PII, you grant Kintsu a worldwide, royalty-free license to use, copy, modify, process, analyze, and otherwise exploit your Customer Data for business purposes, including:
operating, maintaining, and improving the Services;
security, fraud prevention, and diagnostics;
creating analytics, benchmarks, and insights; and
other lawful business purposes.
Opt-out: If you do not want your Customer Data used for non-essential analysis, you may opt out by contacting us at privacy@kintsu.ai.
10.5 Prompts Not Used for Training
We do not use your prompts or outputs to train AI models. However, AI Providers may process data under their own terms. You are responsible for reviewing those terms.
10.6 Use of PII
We will not use raw or identifiable PII for model training. We do not sell PII. We may anonymize and aggregate PII, and once anonymized/aggregated, it may be used for any lawful business purpose.
10.7 Retention and Deletion
We may retain anonymized or aggregated data indefinitely. We may retain PII as long as reasonably necessary to provide the Services, and may retain certain PII after account closure for fraud prevention, legal defense, and legal obligations. Deleted data may persist in backups for a limited time.
10.8 Customer Responsibility
You are responsible for ensuring that your use of the Services complies with applicable privacy and data protection laws, including your transfers of Customer Data through the plugin, integrations, and AI Providers.
11. Refunds and Termination
11.1 No Refunds
Except where required by law, all fees are non-refundable.
11.2 Forfeiture on Termination
If we terminate your account for your breach, any remaining Credits (free or paid) are forfeited. If you cancel, remaining Credits (if applicable) may remain available through the end of your billing period, subject to plan terms and expiration rules described on the Site.
11.3 Effect of Termination
Termination ends your right to access the Services. Provisions that by their nature should survive (IP rights, disclaimers, limitation of liability, indemnification, governing law, etc.) will survive.
12. Marketing and Promotions
From time to time, we may offer promotions or credits. Promotions:
are non-transferable, non-refundable, and non-redeemable for cash;
may be limited to specific Services;
may expire as stated; and
may be revoked if we believe they were obtained fraudulently or used in violation of these Terms.
13. Affiliate Program Terms (If Offered)
If you participate in a Kintsu affiliate program, you agree:
No self-referrals.
No brand bidding on “Kintsu” or confusing variants in paid search.
No spam, deception, or false endorsements.
Payouts are conditional on valid signups under campaign rules.
We may terminate affiliate access and withhold commissions for violations or fraud.
14. Ownership
14.1 Our Rights
We (and our licensors) own all rights, title, and interest in and to the Services and Kintsu Materials, including underlying software, infrastructure, technology, models, algorithms, interfaces, tools, and improvements.
14.2 Your Rights
You own your Customer Data. As between you and Kintsu, you also own AI Output generated for you, subject to third-party rights and the terms of AI Providers.
14.3 Usage Data
We own Usage Data and may use it for monitoring, analytics, benchmarking, improving the Services, and developing new features.
14.4 Feedback
If you provide feedback, you grant us an unrestricted, perpetual right to use it without compensation.
15. Disclaimers of Warranties
THE SERVICES (INCLUDING THE PLUGIN, AGENT, AND ALL AI OUTPUT) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL CODE, OR THAT AI OUTPUT WILL BE ACCURATE, RELIABLE, UNIQUE, OR SUITABLE FOR YOUR INTENDED USE.
16. Indemnification
You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
your use or misuse of the Services, including changes to WordPress sites;
your failure to maintain backups or validate AI Output;
your violation of applicable laws or regulations;
your violation of AI Provider or Infrastructure Provider terms;
your Customer Data (including infringement, misappropriation, or violation of third-party rights); and
any claim that your use of the Services caused website downtime, data loss, or security incidents, except to the extent caused by our gross negligence or willful misconduct.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
WE WILL NOT BE LIABLE FOR:
DOWNTIME OR FAILURES CAUSED BY WORDPRESS, THEMES, PLUGINS, HOSTS, INFRASTRUCTURE PROVIDERS, AI PROVIDERS, OR OTHER THIRD PARTIES;
ERRORS OR INACCURACIES IN AI OUTPUT;
ANY ACT OR OMISSION BY YOU OR ANYONE USING YOUR ACCOUNT; OR
LOSS OF CUSTOMER DATA, EXCEPT TO THE EXTENT CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.
18. Term and Termination
These Terms begin when you first accept them or start using the Services and continue until terminated.
You may terminate your account at any time through your account settings (if available) or by contacting support.
We may terminate or modify the Services at any time by providing notice, and may suspend/terminate for breach as described above.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
You agree that state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction there.
Any dispute must be brought on an individual basis and not as part of a class or representative action. You and Kintsu waive any right to a jury trial.
20. Survival
Sections relating to intellectual property, data rights, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any terms that by their nature should survive will survive termination.
21. Publicity Rights
If you are a business entity, you grant us a non-exclusive, worldwide, royalty-free license to use your name, logo, and trademarks to identify you as a customer in marketing materials. You may revoke by written notice; we will stop using them in new materials within a reasonable time but are not required to recall existing materials.
22. DMCA Compliance
We respect IP rights and comply with the DMCA. If you believe your copyrighted work has been infringed through the Services, send a notice including:
identification of the copyrighted work;
identification of the allegedly infringing material;
your contact information;
a good-faith statement;
an accuracy statement under penalty of perjury; and
your signature.

We may remove material and terminate repeat infringers.
23. Eligibility
You may use the Services only if you are at least eighteen (18) years old (or the age of majority where you live) and have legal capacity to enter into a binding contract. By using the Services, you represent and warrant you meet these requirements. If using on behalf of an entity, you represent you have authority to bind the entity.
24. Notices
We may provide notices to you by email, in-product notifications, or posting on our website. Notices are deemed given when sent.

Notices sent by mail are deemed received three (3) business days after mailing.
25. Miscellaneous
Entire Agreement
These Terms are the entire agreement between you and us regarding the Services and supersede prior agreements.
Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
Export Controls and Sanctions
You may not use the Services if you are located in, or acting on behalf of, sanctioned territories or on restricted-party lists under U.S. law. You represent you are not subject to such restrictions.
Beta or Experimental Features
Beta/preview features are provided “as is,” may change, and may be discontinued without notice, and may be subject to additional terms.
Waiver; Severability
Failure to enforce is not a waiver. If any provision is invalid, the remainder remains in effect.
